WESTLAKE WOMEN’S GOLF ASSOCIATION BY-LAWS
I. NAME
The name of this golf club shall be Westlake Women’s Golf Association (WWGA).

• The second meeting shall be held at the Closing Luncheon in October.
V. OFFICERS
Duties of the Officers:
• The Executive Committee shall appoint all committee chairwomen, prescribe their duties and fill all vacancies.
• The Executive Committee shall determine the amount of yearly dues.
• The Executive Committee shall meet as needed and a majority of the Committee shall constitute a quorum at any meeting.
PRESIDENT
• The President shall preside over all meetings and have general supervision of the Association
• She shall be an ex-officio member of all committees, except the Nominating Committee. She shall not have the right to vote, other that to break a tie.
• She shall make an annual report to the association at the closing meeting in October.
VICE PRESIDENT
• The Vice President shall assist the President and assume the duties of the President in her absence.
• She shall accept the office with the understanding that she may become the President at the end of her term.
• She shall assist the President in supervision of Association Committees.
SECRETARY
• The Secretary shall record the minutes of all Executive meeting and distribute copies to the Board at the next meeting as well as the opening and closing meetings.
• She shall notify the Board of meetings and keep all records and correspondence except those for which the Treasurer is responsible.
TREASURER
• The Treasurer shall keep a full and accurate account of all monies received by WWGA.
• She shall deposit all monies in the name of the Association in depositories approved by the Executive Committee and disburse funds as directed by them.
• She shall work with the Tournament Chairwoman to establish tournament prize money for all events.
• She shall make a financial statement to the Board at all scheduled meetings.
• She shall work with all committee chairwomen to determine their financial needs.
TOURNAMENT CHAIR/REPRESENTATIVE
The 18 Hole Group and 9 Hole Group Tournament Chair/Representatives shall direct and manage all functions of their respective group’s weekly tournaments. Including but not limited to:
• Insuring that all aspects of handicapping, and USGA rules are enforced.
• Coordinating with the Head Professional on USGA and local rules, handicapping and prizes.
• Communicating with their respective group.
• Coordinating prize money and awards with the Treasurer.
• Directing weekly and overall tournament issues to the “Committee for Competition”.

VIII. NOMINATION PROCEDURES
The name of this golf club shall be Westlake Women’s Golf Association (WWGA).
II. PURPOSE
- To promote interest in and the improvement of women’s golf by bringing together a group of women golfers competitively and socially for the betterment of the game at Westlake Golf and Country Club.
- To assure that all tournament golf events are governed by USGA and local rules.
III. MEMBERSHIP
- All women who are eligible golf members as defined by the Golf Committee and approved by the Board of Trustees ( to include Non-resident Golf License holders) may join WWGA and may also be considered for election to positions on the WWGA Board of Directors as presented by the Nominationg Committee at the closing annual membership meeting.
- There shall be, within the Westlake Women’s Golf Association an 18-hole group and a 9-hole group.
- Qualifications for Membership:
- All members of the Women’s Association will be assessed annual membership dues, which will cover prizes, operation expenses and meetings.
- 18/9 hole players will play USGA rules and regulations and will be allowed no more than 54/27 strokes per tournament.
- New members meeting these requirements may play in WWGA tournaments when they have established their USGA handicap.
- The fiscal and tournament year begins on or about April 1st and ends October 31st, or after the last tournament played. Any member joining later in the season will pay pro-rated fees.
- Memberships in the club are individual and non-transferable.
- Membership confers no voice in the operation of the golf course, clubhouse or any facilities of the course.
- Membership confers no special privileges in connection with the golf course.
- In the event that any member of the club shall commit an act which reflects discredit to the Association or refuses to comply with the rules and regulations of the Association shall be subject to suspension or expulsion. Such member will be notified in writing and have 10 days to submit a Written appeal to the Board of Directors. Within days of receipt of this Appeal, the Board of Directors will call a special meeting and respond with a determination by a quorum consisting of 2/3 of the Board of Directors.
IV. MEETINGS
- There shall be two annual membership meetings of the WWGA:
• The second meeting shall be held at the Closing Luncheon in October.
- A legal quorum at any meeting shall be (51%) of the members present
- The Executive Committee, as needed, shall call meetings of the Board of Directors.
- Any actions taken shall be by a majority of the members present, except to and the by-laws which requires a 2/3-majority vote.

- Officers of the WWGA shall be President, Vice President, Secretary, Treasurer, 18 Hole Tournament Chair/Representative and 9 Hole Tournament Chair/Representative. They shall be known as the Executive Officers Committee. They shall be elected for a one 2-year term, beginning the November of the election year. (The two Executive Officer positions, Tournament Chair/Representatives resulted from a general meeting By-laws amendment on April 27, 2006 to meet the representative needs of the 9 Hole Group.)

VI. BOARD OF DIRECTORS
- The Board of Directors shall consist of the officers and the chairwomen of all standing committees of the Westlake Women’s Golf Association and the past president, who shall serve as a non voting, ex-officio member for the 2 years following her term. The club Pro shall be called upon as needed.
- The voting members of the Board shall be the Executive Officers and the chairwomen of the standing committees.
- Chairwomen of the Committees shall serve for the elected year commencing November and ending the following October. Consecutive terms of office are permissible.
- The Board shall make all rules and regulations, which they may deem necessary, for the benefit of the WWGA other than those provided by the By-Laws.
- The Board shall create, combine, or discontinue committees as necessary.
- In case of a vacancy on the Executive Committee, the Board of Directors may elect a successor to hold that office until the next scheduled election. The amount of time served by an appointee in a vacancy will not count as part of a potential, subsequently elected 2-year term.
VII. AMENDMENTS TO BY-LAWS
Amendments can be accomplished by:
- The Board of Directors shall have the power to repeal or amend any of these By-Laws provided that such action shall not be effective until approved by a 2/3 vote of the members present. The Board of Directors will send out email ballots to all members three (3) weeks prior to any meeting at which there is a proposed By-Laws change. The absentee members must return their ballots within 24 hours prior to the meeting and the Board shall tabulate the votes (attended/absentee) at the general meeting in public.
- A general member can submit a proposed amendment change to any Board member along with a petition signed by a minimum of 10 or more members.
VIII. NOMINATION PROCEDURES
- At least five weeks prior to the Annual Meeting (the last week of September), the Executive Committee shall appoint a nominating committee consisting of six members (the past President, who shall serve as Chairwoman, two members of the current Board and three members from the general membership).
- At least three weeks prior to the Annual Meeting, this committee shall submit to the Board and shall post upon the club bulletin board a list of nominees to fill any vacancies for the term of office beginning on the day of the meeting.
- No member of the Nominating Committee can be nominated for office.
- Any member may also be nominated for the Executive Committee by written petition signed by 10 or more members in good standing of the WWGA. The petition must be filed with the secretary no less than 21 days prior to the annual meeting. The secretary shall post the petition no later than 7 days after after receiving it. These By-Laws of the WWGA were amended resulting from a general meeting on April 27, 2006, addressing a petition and dated November 16, 2006, and shall be the governing rules of the Association.
